Does anybody know if Rights issue will be also available through Trading212? If so, who will be eligible? I heard it might be available only UK and passported into, France, Germany, Ireland, the Netherlands, Norway and Spain - see below.
Member States of the EEA (other than the United Kingdom)
In relation to each individual member state of the European Economic Area
(except for the United Kingdom) which has implemented the Prospectus
Regulation (each a relevant member state), no New Ordinary Shares, Nil Paid
Rights, or Fully Paid Rights have been offered or will be offered pursuant to
the rights issue to the public in that relevant member state, except offers of
New Ordinary Shares, Nil Paid Rights, or Fully Paid Rights may be made in that
relevant member state at any time:
• following the notification of the approval of the Prospectus in the United
Kingdom by the FCA to the competent authority in, and passporting of
the Prospectus into, that relevant member state. It is expected that the
Prospectus will be notified to the competent authorities in, and passported
into, France, Germany, Ireland, the Netherlands, Norway and Spain;
• to any legal entity which is a qualified investor as defined in the
Prospectus Regulation;
• to fewer than 150 natural or legal persons (other than qualified investors as
defined in the Prospectus Regulation) in such relevant member state; or
• in any other circumstances falling within Articles 1(3), 1(4) or 3(2) of the
Prospectus Regulation, provided that no such offer of New Ordinary Shares,
Nil Paid Rights, or Fully Paid Rights shall result in a requirement for the
publication by the Company and the Underwriters of a prospectus pursuant
to Article 3 of the Prospectus Regulation other than the Prospectus.
For this purpose, the expression ‘offer of New Ordinary Shares, Nil Paid Rights,
or Fully Paid Rights to the public’ in relation to any New Ordinary Shares,
Nil Paid Rights, or Fully Paid Rights in any relevant member state means the
communication in any form and by any means of sufficient information on the
terms of the rights issue and any New Ordinary Shares, Nil Paid Rights, or Fully
Paid Rights.
